Legal Counsel (General Commercial)

Job Title: Commercial Lawyer (5+ PQE) Location: Hong Kong Department: Commercial / Corporate Type: Permanent, Full-time About the Role We are looking for a motivated Commercial Lawyer with at least 5 years Post-Qualification Experience (PQE) to join our client's legal team in Hong Kong. This is a broad commercial role with a strong emphasis in the consumer sectors. You will provide practical, business-oriented legal advice to retail clients on a wide range of commercial matters in a fast-paced environment. Key Responsibilities - Draft, review and negotiate a variety of commercial agreements, including supply and distribution contracts, procurement agreements, service contracts, terms & conditions, and licensing agreements. - Advise on retail-specific issues such as retail tenancy/lease agreements, franchise arrangements, consumer protection matters, product liability, advertising and marketing compliance, and data privacy (PDPO). - Support commercial transactions, including due diligence, warranties/indemnities, and post-completion matters. - Provide day-to-day commercial legal support to retail and consumer-facing businesses, including risk assessments and regulatory compliance advice. - Work closely with clients’ business teams (procurement, operations, marketing, and finance) to deliver commercially sensible solutions. - Manage multiple matters efficiently while maintaining high standards of client service. - Contribute to the development of standard templates, checklists, and know-how resources for the team. Requirements & Experience Essential: - Qualified solicitor in Hong Kong (admitted in Hong Kong) with a current practising certificate. - Minimum 5 years PQE in commercial law. - Solid experience drafting and negotiating commercial contracts. - Demonstrable experience advising retail, consumer goods, F&B, FMCG (or strong transferable experience in a similar sector). - Excellent command of written and spoken English. Proficiency in Cantonese and/or Mandarin is a strong advantage. - Strong commercial awareness and the ability to provide pragmatic, solutions-focused advice. Desirable: - Prior in-house experience in a retail group or experience supporting retail landlords/tenants on leasing matters. - Familiarity with Hong Kong consumer protection laws, tenancy legislation, Personal Data (Privacy) Ordinance, and relevant competition/anti-trust considerations. - Experience in franchising or cross-border commercial arrangements.
