Job Description

Position Overview We are looking for a Compliance Policy, Regulatory Affairs & Governance Manager to join a growing group with regulated licensees across BVI, Cayman, Hong Kong and other jurisdictions. This is a regulatory-facing and policy-focused role. The role will act as a key liaison between external regulators, outsourced compliance officers, internal compliance teams and business teams. The position is ideal for a compliance professional who is strong in English regulatory communication, policy interpretation, internal governance and cross-jurisdiction coordination. This is not a routine KYC processing role. The role requires the ability to interpret regulatory expectations, translate them into practical internal policies and governance actions, and coordinate implementation across relevant licensed entities. The role will also support internal corporate governance for offshore regulated licensees, particularly BVI and Cayman entities, ensuring that governance frameworks, board-level policies, committee arrangements and control structures meet applicable regulatory expectations. Key Responsibilities 1. Compliance Policy Review and Framework Development - Lead annual and ongoing review of compliance policies and procedures for ICS regulated licensees, including corporate services, fund services, fiduciary services, independent directorship governance and related compliance frameworks. - Monitor regulatory developments in BVI, Cayman and Hong Kong, and assess their impact on the Group’s licensed entities. - Ensure internal policies are aligned with latest regulatory requirements, market practice, peer standards, company risk appetite and operational reality. - Translate regulatory expectations into clear, practical and executable internal policies, procedures, checklists and guidance notes. - Maintain policy registers, regulatory update trackers and implementation records. 2. Regulatory Communication and Engagement - Act as a key contact point for external regulators and outsourced compliance officers. - Handle regulatory meetings, enquiries, written communications, follow-ups and inspection-related communications. - Support license maintenance, regulatory submissions, regulatory inspections and remediation follow-up. - Prepare professional English materials for regulatory use, including responses, briefing notes, board updates and supporting documents. - Coordinate with internal stakeholders to ensure regulatory responses are accurate, consistent and properly supported by facts and records. 3. Internal Corporate Governance - Support and maintain internal corporate governance frameworks for ICS regulated licensees, particularly BVI and Cayman entities. - Manage governance arrangements for board and committee oversight, including Board of Directors, Compliance Committee and other governance committees where applicable. - Coordinate regular scheduling, preparation and documentation of governance meetings. - Prepare meeting agendas, governance materials, board packs and action trackers. - Draft and maintain accurate meeting minutes, resolutions, governance records and follow-up actions. - Ensure governance structures, decision-making processes and documentation meet regulatory expectations for offshore regulated entities. 4. Internal and External Coordination - Bridge internal business and compliance execution teams with outsourced compliance officers and regulatory expectations. - Clearly communicate actual business operations, execution challenges, client-facing realities and operational constraints to compliance stakeholders. - Help balance regulatory rigor with business practicality. - Coordinate with business teams, compliance execution teams, legal advisers, outsourced compliance officers and senior management on policy implementation and risk remediation. - Track follow-up actions and ensure timely closure of regulatory or governance-related matters. 5. Compliance Training and Awareness - Support or deliver internal compliance training sessions. - Explain regulatory updates, policy changes, governance requirements and regulatory focus areas to relevant internal teams. - Help improve compliance awareness across business and operational teams. - Develop short guidance materials, FAQs or internal notes where needed. Candidate Profile Must-have - Based in Hong Kong. - Fluent in English and Chinese, with strong English regulatory writing and communication skills. - Hands-on experience in compliance policy drafting, policy review, regulatory engagement and internal governance. - Practical experience with offshore compliance policies, preferably involving BVI, Cayman and Hong Kong. - Experience in multi-jurisdiction compliance coordination. - Background in regulated environments, such as licensed financial institutions, corporate services, fiduciary services, fund services, professional compliance firms, law firms or risk advisory firms. - Strong ability to convert complex regulatory language into clear internal guidance. - Strong coordination skills and ability to work with senior stakeholders, outsourced compliance officers and external advisers. Nice-to-have - Experience working with or within BVI / Cayman regulated entities. - Experience supporting board or committee governance arrangements. - Experience handling regulatory inspections, remediation actions or regulator communications. - Familiarity with corporate services, fund services, fiduciary services, independent directorship or offshore governance frameworks. - Experience working with outsourced compliance officer models. - ICA, ACAMS, legal, audit, risk or compliance-related qualification would be a plus.
