Senior Legal - Corporate
Company not disclosed
Job Description
Founded in 2020, Durianpay is a next-generation B2B payments software platform enabling seamless transactions across Indonesia. With a mission to modernize and democratize payments for businesses, we focus on making transactions cheaper, faster, and more efficient. With over 60 million transactions processed monthly, we serve clients across diverse industries, including consumer goods, retail, automotive, and financial services. From 2022 to 2023, we tripled our revenue, and between 2024 and 2025, we achieved the same growth again. Our relentless focus on product-market fit and profitability has been central to our success. We prioritize rapid experimentation, embrace mistakes as learning opportunities, and adapt quickly — ensuring we consistently evolve and meet the needs of our client. As Senior Legal (Corporate), you own the contracting and corporate documentation layer end to end — drafting, reviewing, and advising — and act as the first legal touchpoint for business teams launching new initiatives. This is an independent-contributor role with real ownership: you handle intermediate-complexity matters without supervision and escalate only what genuinely warrants it. Key Responsibilties: Contracting & Documentation - Draft, review, and negotiate corporate and commercial documents so terms align with business objectives and protect the company's legal position. - Independently review and execute intermediate-complexity internal and external documents; escalate high-exposure or precedent-setting terms with a recommended position, not just a flag. Legal Research & Advisory - Conduct legal research to stay ahead of changes in Indonesian laws, regulations, and industry practice that affect company operations, and translate findings into concise advice the business can act on. - Provide legal assessment for new business initiatives and product launches, including preliminary risk views and the conditions under which the initiative can proceed. Corporate Governance & Legal Administration - Maintain the legal function's administrative backbone: contract database, corporate documents, minutes of meeting, SOPs, letter numbering, signing workflow, and retention. - Identify gaps in internal legal processes, policies, and procedures, and recommend efficiency improvements to the Legal Manager. Stakeholder Management - Liaise with external counterparties — merchants, partners, vendors, external counsel, notaries — on agreements and closing formalities. - Partner cross-functionally with Sales/BD, Product, Finance, Risk & Compliance, and People so merchants get a smooth experience without compromising the company's legal position. Projects - Own corporate legal projects end to end: corporate actions, entity housekeeping, policy rollouts, and contract template standardization. Requirements: - Bachelor of Laws (S.H.) from a reputable university; PKPA / Advokat license is a plus. - 3 years above of corporate and commercial legal experience, in-house or in a law firm. In-house exposure to fintech, financial services, or technology is strongly preferred. - Solid command of Indonesian corporate and contract law. Familiarity with the payment systems regulatory landscape (Bank Indonesia regulations on payment service providers, OJK, and PDP Law No. 27/2022) is a significant advantage. - Full professional proficiency in Bahasa Indonesia and English, including drafting and negotiating bilingual agreements. - Able to explain legal risk in plain business language to non-legal stakeholders and hold a position under commercial pressure. - Interdisciplinary comfort: can read general finance and tax principles, basic statistics, and technical product documentation well enough to spot where the legal risk actually sits.
