Head of Legal – International Commercial & Technology Location: Singapore Reporting to: Founder & CEOAbout the Role Union AI is seeking an experienced and commercially minded Head of Legal to lead the company's legal function and support its rapidly expanding global AI infrastructure business. The role will work directly with the Founder & CEO and senior management team, supporting complex cross-border commercial transactions, AI infrastructure and computing capacity agreements, strategic partnerships, corporate financing, compliance and international expansion. This is not a traditional contract-review role. We are looking for a business-oriented legal leader who can independently draft, negotiate and close sophisticated international transactions while helping the company move fast with disciplined risk management.Key Responsibilities1. International Commercial Transactions Lead the drafting, review and negotiation of complex cross-border commercial agreements, including: - Master Service Agreements (MSA) - Service Level Agreements (SLA) - Order Forms and Statements of Work - AI/GPU computing capacity and infrastructure service agreements - Cloud and data center service agreements - Technology procurement and supply agreements - Strategic cooperation and partnership agreements - Distribution and agency agreements - NDAs, MOUs and other commercial agreements Act as the primary legal partner for major international customers, suppliers and strategic partners throughout contract negotiation and closing.2. AI Infrastructure & Technology Business Provide legal support for the company's global AI infrastructure businesses, including: - GPU / AI computing infrastructure - AI data centers - Power and liquid cooling infrastructure - Cloud and AI services - Long-term computing capacity arrangements - Cross-border technology transactions Identify and manage key commercial risks involving prepayments, delivery and acceptance, SLA, service credits, limitation of liability, indemnification, termination, acceleration, refund mechanisms, change of control and other critical provisions.3. Corporate & Financing Support the company's corporate and financing activities, including: - Venture capital and strategic financing - Shareholders' agreements and investment agreements - ESOP and equity incentive plans - Cayman / Singapore / BVI corporate structures - Joint ventures and strategic investments - Board and shareholder governance Coordinate and manage external counsel for major financing, M&A, restructuring and other special transactions.4. Compliance & International Regulatory Matters Work with external specialists and business teams on: - KYC / AML - Sanctions compliance - Export controls - U.S. BIS regulations - Cross-border investment regulations - Data protection and cybersecurity - Anti-bribery and anti-corruption - International trade compliance Develop practical internal compliance processes that support the company's global operations.5. Legal Operations Build and continuously improve the company's global legal infrastructure, including: - Contract template library - Contract review and approval workflow - Clause library - Contract negotiation playbook - Legal risk matrix - Delegation of authority - Contract lifecycle management - External counsel management Establish clear Green / Yellow / Red legal risk standards to improve contract negotiation efficiency and reduce deal-closing cycles.6. External Counsel Management Build and manage the company's global external counsel network across China, Singapore, the United States, Japan and other key jurisdictions. Determine when external legal advice is required and manage scope, budget and deliverables. Drive a significant reduction in external legal costs while maintaining high standards for major transactions and regulatory matters.Qualifications - 7–12+ years of relevant legal experience. - Qualified lawyer in China, Singapore, England & Wales, New York, California or another major jurisdiction preferred. - Strong experience in international commercial and technology transactions. - Significant hands-on experience drafting and negotiating complex English-language agreements. - Experience in cloud computing, AI infrastructure, data centers, technology, telecommunications, semiconductors, enterprise software or related industries strongly preferred. - Experience with cross-border transactions involving the United States, Singapore, China, Japan, Europe or the Middle East preferred. - Familiarity with venture financing, Cayman/BVI/Singapore corporate structures and ESOP arrangements. - Understanding of sanctions, export controls, KYC/AML and international technology compliance is highly desirable. - Prior experience at a leading international or top-tier law firm combined with in-house technology company experience is strongly preferred. - Full professional proficiency in English and Chinese.What We Are Looking For We are particularly interested in lawyers who are: Commercial, not bureaucratic. This role will work closely with the Founder & CEO and will have the opportunity to build Union AI's global legal function from the ground up. -
